1. Acceptance of Terms

Welcome to Lucky Duck Labs LLC (“Lucky Duck,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, sweepstakes, promotions, products, services, and mobile messaging programs (collectively, the “Services”).

By accessing or using the Services, creating an account, entering a promotion, making a purchase, or indicating acceptance of these Terms, you agree to be legally bound by this Agreement, our Privacy Policy, and any applicable promotion rules. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into this Agreement.

3. Sweepstakes, Entries, and No Purchase Necessary

Lucky Duck offers sweepstakes and promotional games that may include both paid entry options and free alternative methods of entry (“AMOE”), as required by applicable law.

• No purchase is necessary to enter or win.
• Purchasing entries does not increase odds beyond the number of entries received.
• Free entry methods are clearly disclosed for each promotion.
• Odds of winning depend on the total number of eligible entries received.

Each sweepstakes is governed by official rules published for that promotion, which are incorporated into these Terms by reference. In the event of a conflict, the official rules will control.

4. Termination or Cancellation of Promotions

Lucky Duck Labs LLC reserves the right, in its sole discretion, to suspend, modify, or terminate any sweepstakes, giveaway, or promotion if the promotion does not sell out, fails to reach a minimum participation threshold, or for any operational, technical, legal, or business reason.

If a promotion is terminated prior to completion, all eligible paid entries will receive a 100% refund to the original form of payment within a commercially reasonable timeframe. Free entries submitted through alternative methods of entry will not carry cash value or additional compensation.

Termination of a promotion under this section shall not give rise to any additional claims, damages, or liability beyond issuance of the applicable refund.

5. User Accounts and Security

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account.

You agree to provide accurate information, keep your credentials secure, and notify us immediately of any unauthorized access. We are not responsible for losses resulting from your failure to safeguard your account.

6. Purchases and Payments

The Services may allow you to purchase entries, credits, or other digital items. All purchases are final unless otherwise required by law or explicitly stated.

Transactions exceeding $250 USD may be subject to additional verification to prevent fraud. Lucky Duck reserves the right to refuse, cancel, or limit any transaction at its sole discretion.

7. Mobile Terms of Service (SMS)

Lucky Duck may offer SMS or text messaging programs (“SMS Service”). By opting in, you consent to receive recurring text messages from Lucky Duck Labs LLC to the mobile number you provide, including service-related and promotional messages.

• Consent to receive SMS messages is not a condition of purchase or entry
• Message frequency may vary
• Message and data rates may apply
• Wireless carriers are not responsible for delayed or undelivered messages

You may opt out at any time by replying STOP to any message. For help, reply HELP or contact hello@tryluckyduck.com.

Lucky Duck may change the phone number or delivery method used for the SMS Service at any time. We are not responsible for requests sent to outdated numbers.

8. Intellectual Property

All content, trademarks, logos, designs, text, graphics, software, and materials on the Services are owned by or licensed to Lucky Duck Labs LLC and are protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, or exploit any content without prior written permission.

9. Prohibited Conduct

You agree not to:

• Violate any law or regulation
• Attempt to manipulate entries, odds, or platform mechanics
• Interfere with security or platform integrity
• Use automated systems or scripts without authorization

We reserve the right to suspend or terminate access for violations.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCKY DUCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCKY DUCK LABS LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LUCKY DUCK, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lucky Duck Labs LLC and its officers, directors, employees, affiliates, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

13. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, system outages, labor disputes, or governmental actions.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wyoming, and you waive any right to a jury trial.

Before initiating legal action, you agree to contact us at hello@tryluckyduck.com to attempt good-faith resolution.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and applicable promotion rules, constitute the entire agreement between you and Lucky Duck Labs LLC and supersede all prior agreements or understandings.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on our website or communicated by reasonable means. Continued use of the Services after changes become effective constitutes acceptance.
